Allgemeine Geschäftsbedingungen über Screen Vermarktung und Lieferung von Content der FRAMEN GmbH.

§ 1   Gegenstand

1.1       Vermarktung

Screen Provider räumt FRAMEN das Recht ein, alle von Screen Provider angeschlossenen Digital Out of Home (DOOH) Bildschirme („Screens“) mit Lizenzinhalten und werblichen Inhalten („Content“) von FRAMEN zu bespielen. Screen Provider räumt daher FRAMEN Exklusivität ein, dass heißt sollten während der Vertragslaufzeit der Screen Provider weitere Screens anschließen, hat FRAMEN das Recht, den Anwendungsbereich dieses Vertrages auch auf diese Screens zu erweitern

1.2          Content Lieferung

The Screens will be connected to the FRAMEN server via an RSS feed/JSON feed or similar technologies in such a way that the contents will only be played by Frames without being stored permanently, i.e. only within the scope of § 44 a UrhG (German Copyright Act), temporarily by the Screen Provider.

1.3          Übergreifende Verpflichtungen

Der Screen Provider ist für den Betrieb der Screens verantwortlich. Der Screen Provider sichert zu, berechtigt zu sein, die Bildschirme mit Inhalten wie vertraglich vorgesehen beliefern zu lassen. Der Screen Provider wird dabei sicherstellen, dass alle rechtlichen und technischen Rahmenbedingungen erfüllt sind, damit FRAMEN gemäß den Bestimmungen dieses Vertrages den Content auf den der Screens während der Vertragslaufzeit ausspielen kann. Screen Betreiber wird sich nicht als Anbieter des Contents darstellen und/oder es wird den Eigentümern der angeschlossenen Screens untersagen, sich als Anbieter der des Contents darzustellen.

§ 2   Pflichten von FRAMEN

2.1          Bereitstellung

2.1.1      FRAMEN stellt den Screen Provider die FRAMEN Software und Hardware (TV-Stick) im Zeitraum der Vertragslaufzeit zur Verfügung.

2.2          Vermarktung

2.2.1      FRAMEN hat das ausschließliche Recht die von FRAMEN zu Verfügung gestellten Inhalte zu vermarkten. FRAMEN vermarktet die Werbeplätze und die darüber angezeigten Werbemittel an Dritte in eigenem Namen und auf eigene Rechnung und wird alleiniger Vertragspartner des Werbekunden bzw. der Agenturen. FRAMEN ist in seiner Preisgestaltung gegenüber dem Werbekunden bzw. den Agenturen frei und nimmt diese nach eigenem Ermessen vor. Framen hat das Recht bis zu 5% des vermarktbaren Inventars für Eigenwerbung von Framen zu verwenden.

2.2.2      Die Auslieferung der Werbemittel erfolgt über den FRAMEN Ad Server an die Screens des Screen Providers.

2.2.3      FRAMEN hat das Recht festzulegen, auf welchen Screens und welcher Screenart der Content und Werbung ausgespielt werden wird.

2.2.4      FRAMEN übernimmt die rechtliche Prüfung von Werbemitteln des von FRAMEN vermarkteten Inventars nur im Hinblick auf grobe bzw. offenkundige Rechtsverstöße und nur, sofern technisch möglich. Eine weitere Prüfungspflicht obliegt FRAMEN jedoch nicht.

2.2.5      Für die von FRAMEN vermarkteten Aufträge übernimmt FRAMEN die Abrechnung mit den Werbekunden/Agenturen, die Inkassoleistungen, Forderungseinzug, Mahnungen und sonstige mit der Fakturierung in Zusammenhang stehende Dienstleistungen. Das Forderungsausfallrisiko trägt der Screen Provider. Bei der Auswahl der Werbekunden, insbesondere bezüglich deren Bonität, wird FRAMEN die Sorgfalt eines ordentlichen Kaufmanns beachten.

2.2.6      Den Parteien ist bekannt, dass die Vermarktung stark von den Marktgegebenheiten und dem Werbeumfeld abhängt und der konkrete Vermarktungserfolg nicht vorhersehbar ist. FRAMEN wird die Vermarktung mit der Sorgfalt eines ordentlichen Dienstleisters durchführen.

2.3          Content

2.3.1      Nach der Anbindung an die FRAMEN Plattform ist FRAMEN dazu bemächtigt redaktionellen Content einzuspielen, um einen Mehrwert für die Vermarktung der Screens herzustellen. Diese Einblendungen wird durch ein Logo (zum Beispiel: WELT Logo) des Contentlizenzinhabers markiert.

2.4          Service Level

2.4.1      FRAMEN leistet während der Dauer des Vertragsverhältnisses montags bis freitags von 9.00 bis 17.00 Uhr (außer an bundeseinheitlichen Feiertagen) einen telefonischen Support bzgl. den Anwendungen und nimmt in dieser Zeit auch Störungsmeldungen entgegen.

·       Im Falle einer Störungsmeldung beinhaltet der Support die Fehleridentifizierung und -beseitigung bezüglich den Anwendungen. Während der Arbeiten ist FRAMEN berechtigt, die Softwareeinrichtung außer Betrieb zu setzen.

·       FRAMEN erbringt die Serviceleistungen nur im Rahmen der technischen und betrieblichen Möglichkeiten eines breitbandigen Remotezuganges zur Fernbetreuung.

·       Im Supportfall verbindet sich FRAMEN mit dem Account und/oder mit dem Player des Screen Provider und führt über den breitbandigen Remotezugang eine Fehlereingrenzung und -diagnose durch.

 

§ 3   Vertragspflichten des Screen Providers

3.1          Einrichtung und Unterhaltung der Screens

3.1.1.   Screen Provider ist für die Einrichtung der FRAMEN Software oder der Hardware und den Betreib der Screens verantwortlich. Dabei kann FRAMEN werktags (montags bis freitags) von 9.00 bis 16.00 die Einrichtung unterstützen. Voraussetzung ist die Installation der FRAMEN Software oder den Anschluss des TV-Sticks an dem jeweiligen Screen durch den Screen Provider. Außerdem wird der Screen Provider die Screens an das Internet anschließen und ein Nutzeraccount auf der FRAMEN Internetseite einrichten.

3.1.2.   Screen Provider verpflichtet sich alle Daten zu den einzelnen Screens aber auch zum eigentlichen Account im FRAMEN Benutzerkonto aktuell zu halten. Sollte ein Screen defekt sein, wird er innerhalb von 24 Stunden im Backend von Framen deaktiviert.

3.1.3  Screen Provider stimmt hiermit zu, dass er alle Location- und Screeninformationen sowie Text/Foto/Video Rechte für die vom Screen Provider im Backend hinterlegten Daten hat und diese auch Framen für folgende Zwecke zur Verfügung stellt.

•          Angebotserstellung für Advertising Kunden auf der Plattform FRAMEN und somit für alle Nutzer im Internet

•          Angebotserstellung für Advertising Kunden in SSPs und DSPs sowie an Vermarktungsdritte

•          Unterlagen für die Vermarktung und fürs Marketing von FRAMEN

3.1.4 Screen Provider unterstützt auf Anfrage von Framen durch Fotos und Videos von seinen Screens mit dem jeweiligen Content die Vermarktung der Screens.

3.2          Plattform & Screens

3.2.1      Screen Provider wird die von FRAMEN eingespielten Inhalte nicht selbst vermarkten. Das ausschließliche Recht diese Inhalte zu vermarkten steht FRAMEN zu. Screen Provider wird sich nicht direkt oder indirekt als Anbieter des von FRAMEN nach diesem Vertrag zur Verfügung gestellten Content darstellen. Jede Kommunikation des Screen-Provider über den von FRAMEN zur Verfügung gestellten Content bedarf der vorherigen schriftlichen Zustimmung durch FRAMEN.

3.2.2      Der Screen Provider verpflichtet sich, dass alle über die Plattform angeschlossenen Screens an öffentlichen und semi-öffentlichen Orten zugänglich und somit sichtbar sind und keine Gebühren für die Inhalte der Screens gegenüber Verbrauchern erhoben werden.

3.2.3      Der Screen Provider verpflichtet sich, dafür zu sorgen dass, wenn ein Ad Request für Werbung vor und/oder nach dem Content von dessen angeschlossener Plattform an den Ad Server von FRAMEN gesendet wird und ein entsprechendes Werbemittel vorhanden ist, dieses Werbemittel auch tatsächlich auf dem Screen erscheint.

3.2.4      Der Screen Provider übermittelt für eine bessere Vermarktung alle Markforschungsunterlage (zum Beispiel DMI Digital Media Institute GmbH) zu den Screens, um eine optimale Vermarktung für FRAMEN zu ermöglichen.

3.2.5      Dem Screen Provider ist bekannt, dass die Werbekunden und Content-Lieferanten Brand Safety Vorgaben machen. Der Screen Provider wird FRAMEN unterstützen, diese Vorgaben einzuhalten. FRAMEN wird den Screen Provider über die jeweils einzuhaltenden Brand Safety Vorgaben (einschließlich Änderungen) der Werbepartner und Content Lieferanten informieren. Bei Nichteinhaltung der Brand Safety Vorgaben behält FRAMEN sich vor, Screens von der Belieferung mit Inhalten auszuschließen.

3.2.6      Der Screen Provider trägt dafür Sorge, dass die Screens nicht in Orten stehen, die geeignet sind, den Ruf FRAMEN, ihren Werbekunden oder Content-Lieferanten zu schädigen sowie, dass außerhalb des von Framen gelieferten Contents auf den Screens kein rechtswidriges Material veröffentlicht wird und dass die Screens keine Inhalte enthalten:

●        die als pornografisch im Sinne von § 184 StGB oder

●        als Inhalte im Sinne des Jugendmedienschutz-Staatsvertrags eingeordnet werden können,

●        die im Sinne von §§ 86, 131 StGB zum Rassenhass aufstacheln, Gewalt verherrlichen oder verharmlosen, den Krieg verherrlichen,

●        für eine terroristische Vereinigung werben,

●        zu einer Straftat auffordern,

●        ehrverletzende Äußerungen enthalten oder

●        sonstige rechtswidrige Inhalte enthalten oder Rechte Dritter verletzen.

3.2.7      Der Screen Provider verpflichtet sich, mit Beendigung des Vertragsverhältnisses, alle Tags, Links und APIs von FRAMEN auf seiner Plattform auszubauen bzw. die Hardware an Framen zu schicken. Bei nicht erfolgtem Ausbau oder Übermittlung der Software durch den Screen Provider FRAMEN berechtigt, die bei FRAMEN dadurch entstehenden Kosten dem Screen Provider in Rechnung zu stellen.

3.2.8      Der Screen Provider verpflichtet sich, die für eine erfolgreiche Vermarktung und Sicherung der Inhalte erforderlichen weiteren Mitwirkungshandlungen nach Treu und Glauben vorzunehmen. Beiden Parteien ist bewusst, dass sich die technischen, rechtlichen und kommerziellen Voraussetzungen für eine erfolgreiche Vermarktung durch Publisher in einem extrem dynamischen Marktumfeld bewegen, weshalb eine Konkretisierung dieser Mitwirkungshandlungen im Einzelnen für die gesamte Vertragslaufzeit nicht möglich ist. FRAMEN wird eventuelle neue technische, rechtliche und kommerzielle Maßnahmen formulieren und zeitnah jeweils mit dem Screen Provider partnerschaftlich besprechen. Vorgaben zur Veröffentlichung von Inhalten sind vom Screen Provider jederzeit einzuhalten.

3.3          Content

3.3.1      Der Screen Provider garantiert, dass im Falle einer Ausspielung von lizenzrechtlich relevantem Content, die über die Plattform angeschlossenen Screens ausschließlich an den kommunizierten Standorten stehen.

3.3.2      Der Screen Provider wird den Content, den FRAMEN über die angeschlossenen Screens ausspielt, nicht verändern oder ganz oder teilweise blockieren.

3.3.3      Der Screen Provider stellt sicher, dass neuer Content innerhalb von 10 Minuten eingespielt und an die maßgeblichen Screen-Betreiber verteilt wird. Auch das Refreshen von Content muss innerhalb von 10 Minuten durchgeführt werden. Der Screen Provider haftet nicht für externe Faktoren wie z.B. WiFi Schwankungen.

3.3.4      Der Screen Provider wird keine Kopien der Inhalte machen. Der Screen Provider stellt sicher, dass Screen-Betreiber Inhalte nicht herunterladen und vervielfältigen können.

3.4          Service Level

The Screen Provider assures technical support on weekdays 8am-5pm; in case of massive outages, the Screen Provider will take necessary measures outside these hours. The Screen Provider will inform FRAMEN immediately about (partial) outages of the platform or of Screen networks.

 

§ 4   Vergütung

4.1       Jeweils spätestens zum 20. Werktag des Folgemonats erstellt und übersendet FRAMEN an den Screen Provider für den vorangegangenen Monat eine Gutschrift in Höhe des sich aus Ziffer 4.1 ergebenden Zahlungsanspruchs. Das Zahlungsziel der Gutschrift liegt bei 60 Tagen. In jedem Falle wird der Screen Provider keine mittelbaren oder unmittelbaren Informationen erhalten, die es dem Screen Provider ermöglichen, Rückschlüsse über die von FRAMEN erzielten Preise zu ziehen.

4.2       Eine Auszahlung wird erst ab einer Summe von mindestens 25,00 Euro eingeleitet.

4.3       Zahlungen werden allein auf der Grundlage von FRAMEN ermittelt. Screen Provider erkennen an und stimmen zu, dass Screen Provider nur für Zahlungen berechtigt sind, für die FRAMEN bezahlt wurde; falls FRAMEN aus irgendwelchen Gründen die Zahlung von einem Werbeanbieter nicht erhält oder die Zahlung an einen Werbeanbieter zurückzahlt, sind Screen Provider nicht berechtigt, für mit der Nutzung verbundene Dienste bezahlt zu werden. Zusätzlich gilt, wenn ein Werbeanbieter, dessen Advertising auf einem Screen angezeigt werden, seine Zahlungen gegenüber FRAMEN nicht oder nicht rechtzeitig erbringt, können wir Zahlungen zurückbehalten oder Ihrem Konto rückbelasten.

4.4       FRAMEN hat das Recht, an Screen Provider zu leistenden Zahlungen zurückzubehalten oder anzupassen, um alle Beträge auszuschließen, die aufgrund von FRAMEN Feststellungen aus ungültigen Aktivitäten entstehen. Ungültige Aktivitäten umfassen, ohne jedoch hierauf begrenzt zu sein, (i) falsche Angaben oder nicht übereinstimmenden Daten im Backend von FRAMEN hinterlegt hat (ii) Spam, ungültige Impressions, ungültige Anfragen, ungültige Umwandlungen oder andere ungültige Ereignisse auf Anzeigen, die durch eine Person, Bot, automatisches Programm oder eine ähnliche Vorrichtung generiert werden, einschließlich Impressions, Anfragen, Umwandlungen oder andere Ereignisse, die von Ihrer IP-Adresse oder von Rechnern unter Ihrer Kontrolle ausgehen; (ii) durch Geldzahlungen, falsche Angaben oder an Endnutzer gerichtete Aufforderungen, Anzeigen anzuklicken oder andere Handlungen vorzunehmen, motivierte Impressions, Anfragen, Umwandlungen oder andere Ereignisse (iii) Anzeigen, die an Endnutzer ausgeliefert werden, aber die Anzeigenschaltung oder -messung manipulieren;(iv) Impressions, Anfragen, Umwandlungen oder andere Ereignisse, die an einem Kundenobjekt auftreten, die ein Nutzer nicht hätte erreichen können(v) jegliche Impressions, Anfragen, Umwandlungen oder andere Ereignisse, die an einem Kundenobjekt auftreten, das in Zusammenhang mit einem anderen von Ihnen genutzten FRAMEN Konto steht, und (vi) Impressions, Anfragen, Umwandlungen oder andere Ereignisse, die mit einer signifikanten Menge der vorstehenden beschriebenen ungültigen Aktivitäten oder mit ungültigen Aktivitäten, die auf vorsätzliches Fehlverhalten hindeuten, vermischt sind Für den Fall, dass FRAMEN vor oder nach Zahlungsveranlassung für die Aktivität ungültige Aktivitäten entdeckt, behält sich FRAMEN das Recht vor, das Screen Provider Konto zu belasten und zukünftige Zahlungen für alle ungültigen Impressions, Anfragen, Umwandlungen oder anderen Ereignisse, einschließlich aller Impressions, Anfragen, Umwandlungen oder anderen Ereignisse, die nicht dieser Richtlinien einhalten, entsprechend anzupassen.

4.5       Alle nach diesem Vertrag zu zahlenden Beträgen verstehen sich zuzüglich Umsatzsteuer.

 

§ 5   Laufzeit

5.1       Der Vertrag kann von einer der Parteien, mit einer Frist von drei Monaten zum Ende eines Kalenderjahres gekündigt werden.

5.2       Das Recht zur Kündigung aus wichtigem Grund bleibt unberührt. Ein wichtiger Grund liegt insbesondere vor, wenn eine der Parteien trotz einer schriftlichen Abmahnung eine wesentliche Vertragspflicht verletzt. Ein wichtiger Grund für FRAMEN liegt ferne insbesondere vor,

·        wenn Screen Provider wesentliche, für die Geschäftsbeziehung relevante Geschäftszweige aufgibt;

·        wenn Screen Provider ihre Leistungen im Rahmen dieses Vertrags einstellt und/oder dauernd zahlungsunfähig ist/wird;

·        wenn über das Vermögen von Screen Provider die Eröffnung eines Insolvenzverfahrens beantragt ist, oder die Eröffnung eines solchen Verfahrens mangels Masse abgelehnt wird;

·        wenn andere Umstände eintreten, die zu nachhaltigen Zweifeln an der künftigen Leistungsfähigkeit von Screen Provider berechtigen.

5.3       Im Falle einer Kündigung werden nur die erbrachten, vertragsgemäßen Leistungen vergütet.

5.4       Jede Kündigung bedarf der Schriftform.

 

§ 6   Haftung

The liability of the parties exists only in the case of culpable breach of essential contractual obligations (cardinal obligations). In the event of a slightly negligent breach of a material contractual obligation, liability shall be limited to the typically foreseeable damage, the occurrence of which the parties had to expect at the time of the conclusion of the contract based on the circumstances known to it at that time. The parties shall not be liable for lack of economic success, loss of profit, indirect damages, consequential damages and claims of third parties. The above limitations of liability shall also apply mutatis mutandis in favor of the employees, agents and vicarious agents of the parties. In addition, the parties shall be liable in accordance with the statutory provisions for damages under the Product Liability Act, for injury to life, limb or health or if the damage was caused by gross negligence or intent on the part of the respective party or its vicarious agents.

 

§ 7   Datenschutz

The Parties hereby clarify that no information relating to an identified or identifiable natural person within the meaning of Art. 4 No. 1 of the German Data Protection Regulation (DSGVO) will be processed within the scope of the marketing of the DOOH inventory as set out in the Agreement.

 

§ 8    Vertraulichkeit

8.1       Die Parteien verpflichten sich, alle Informationen, die der jeweils anderen Partei bzw. den von ihm betrauten Personen im Zusammenhang mit diesem Vertrag bekannt werden, und die nicht offenkundig sind (vertrauliche Informationen), vertraulich zu behandeln. Dies gilt insbesondere für alle Informationen über interne Belange, also auch Geschäft- und Betriebsabläufe der jeweiligen Partei. Vertrauliche Informationen können hierbei auch solche Informationen sein, die während einer mündlichen Präsentation oder Diskussion bekannt werden. Vertrauliche Informationen dürfen ausschließlich zum Zweck der Durchführung des Vertrages eingesetzt werden. Auf eine sonstige Verwertung der gewonnenen Erkenntnisse wird unwiderruflich verzichtet. Die Verpflichtung zur Vertraulichkeit gilt unabhängig davon, ob die betreffende Information ausdrücklich als vertraulich gekennzeichnet ist oder nicht.

8.2       Beide Parteien vereinbaren, die erhaltenen Informationen genauso sorgfältig zu behandeln wie eigene Betriebsinterna und nur den erforderlichen Mitarbeitern und keinen Dritten Kenntnis hierüber zu verschaffen oder zugänglich zu machen, ausgenommen Mitarbeitern verbundener Unternehmen (§§ 15 ff. AktG), oder zu Berufsverschwiegenheit verpflichtete Beratern, deren Einbeziehung für die Verwirklichung der Zwecke dieser Vereinbarung tatsächlich notwendig ist. Die Parteien werden dafür Sorge tragen, dass die verbundenen Unternehmen (§§ 15 ff. AktG), denen eine Partei (offenlegende Partei) vertraulichen Unterlagen und Informationen zugänglich macht, seinerseits ebenfalls zur Geheimhaltung verpflichtet sind wie die Parteien nach diesem Vertrag.

8.3       Die Pflicht zur Geheimhaltung gilt nicht, soweit die Informationen und Unterlagen:

·       bereits vorher ohne Verpflichtung zur Geheimhaltung bekannt waren,

·       allgemein bekannt sind oder werden, ohne dass dies die offenlegende Partei zu vertreten hat,

·       der offenlegenden Partei von einem Dritten ohne Verpflichtung zur Geheimhaltung mitgeteilt bzw. überlassen werden,

·       von der anderen Partei zur Bekanntmachung schriftlich freigegeben worden sind und/oder

·       aufgrund gesetzlicher Vorschriften, richterlicher oder behördlicher Anordnungen oder Verfügungen zu erteilen sind.

 

§ 10 Schlussbestimmungen

10.1    Mündliche Nebenabreden sind nicht getroffen. Für das Zustandekommen des Vertrags gilt die Schriftform. Diese ist eingehalten, wenn der Vertrag von Vertretern beider Parteien unterzeichnet oder durch die einfache elektronische Signatur gemäß eIDAS-Verordnung durchgeführt wurde („Schriftform“). Die Übermittlung des unterzeichneten Dokuments als Scan oder pdf ist genügend.

10.2    Sollte eine Bestimmung dieses Vertrags unwirksam sein oder werden, so wird die Gültigkeit des Vertrages im Übrigen hiervon nicht berührt. Anstelle der unwirksamen Bestimmung soll eine Regelung treten, die im Rahmen des rechtlich Möglichen dem Willen der Parteien am nächsten kommt. Das gleiche gilt im Falle einer Regelungslücke.

10.3    Zwischen FRAMEN und dem Screen Provider entsteht durch diese Vereinbarung kein Gesellschaftsverhältnis oder gesellschaftsähnliches Verhältnis.

10.4    Änderungen der Allgemeinen Geschäftsbedingungen, Leistungsbeschreibungen und Preise

10.4.1   FRAMEN ist berechtigt, die Allgemeinen Geschäftsbedingungen, die jeweiligen Leistungsbeschreibungen oder die Preise mit einer angemessenen Ankündigungsfrist zu ändern, sofern die Änderung unter Berücksichtigung der Interessen von FRAMEN für den Screen Provider zumutbar ist. Die Änderungen werden dem Screen Provider schriftlich mitgeteilt.

10.4.2   Erfolgen Änderungen zu Ungunsten des Screen Providern, so steht dem Screen Providern zum Zeitpunkt des Wirksamwerdens der Änderung ein Sonderkündigungs- recht zu. FRAMEN weist den Screen Providern in der Änderungsmitteilung sowohl auf dieses Sonderkündigungsrecht hin, als auch darauf, dass die Änderung wirksam wird, wenn der Screen Provider nicht binnen der gesetzten Frist von dem Sonderkündigungsrecht Gebrauch macht.

10.5    Ausschließlicher Gerichtsstand für alle Streitigkeiten zwischen den Parteien aus oder in Verbindung mit diesem Vertrag ist Berlin.

 

General Terms and Conditions on Screen Marketing and Delivery of Content of FRAMEN GmbH.

§ 1 Subject matter

1.1 Marketing

Screen Provider grants FRAMEN the right to record all Digital Out of Home (DOOH) screens („Screens“) connected by Screen Provider with licensed content and advertising content („Content“) from FRAMEN. Screen Provider therefore grants FRAMEN exclusivity, i.e. should additional Screens be connected during the term of the Agreement, FRAMEN shall have the right to extend the scope of this Agreement to these Screens as well.

1.2 Content delivery

The Screens are connected to the FRAMEN server via an RSS feed/JSON feed or similar technologies in such a way that the content is only played by Frames without being permanently stored temporarily by the Screen Provider, i.e. only within the scope of § 44 a UrhG (German Copyright Act).

1.3 Overarching obligations

The Screen Provider is responsible for the operation of the Screens. The Screen Provider warrants that it is entitled to have the Screens supplied with content as contractually provided. In doing so, the Screen Provider will ensure that all legal and technical conditions are met so that FRAMEN can play out the Content on the Screens during the term of the Contract in accordance with the provisions of this Contract. The Screen Provider shall not represent itself as the provider of the Content and/or shall prohibit the owners of the connected Screens from representing themselves as the provider of the Content.

§ 2 Obligations of FRAMEN

2.1 Provision

2.1.1 FRAMEN shall provide the Screen Provider with the FRAMEN software and hardware (TV stick) for the duration of the contract.

2.2 Marketing

2.2.1 FRAMEN shall have the exclusive right to market the content provided by FRAMEN. FRAMEN markets the advertising spaces and the advertising media displayed on them to third parties in its own name and for its own account and becomes the sole contractual partner of the advertising customer or the agencies. FRAMEN shall be free in its pricing vis-à-vis the advertising client or agencies and shall do so at its own discretion. Framen has the right to use up to 5% of the marketable inventory for Framen’s own advertising.

2.2.2 The delivery of the advertising media is carried out via the FRAMEN Ad Server to the screens of the Screen Provider.

2.2.3 FRAMEN has the right to determine on which screens and which screen type the Content and Advertising will be played.

2.2.4 FRAMEN shall undertake the legal examination of advertising media of the inventory marketed by FRAMEN only with regard to gross or obvious violations of law and only if technically possible. However, FRAMEN shall not be obliged to carry out any further examination.

2.2.5 For the orders marketed by FRAMEN, FRAMEN shall take over the billing with the advertising customers/agencies, the collection services, debt collection, reminders and other services related to the invoicing. The risk of bad debts is borne by the Screen Provider. When selecting advertising customers, in particular with regard to their creditworthiness, FRAMEN shall exercise the care of a prudent businessman.

2.2.6 The parties are aware that marketing is highly dependent on market conditions and the advertising environment and that the specific marketing success cannot be predicted. FRAMEN shall carry out the Marketing with the care of a prudent service provider.

2.3 Content

2.3.1 After the connection to the FRAMEN platform, FRAMEN is authorised to insert editorial content in order to create added value for the marketing of the screens. These insertions are marked by a logo (for example: WELT logo) of the content licence holder.

2.4 Service Level

2.4.1 For the duration of the contractual relationship FRAMEN shall provide telephone support for the applications from Monday to Friday from 9.00 a.m. to 5.00 p.m. (except on national holidays) and shall also accept fault reports during this time.

– In the event of a fault report, the support includes fault identification and elimination with regard to the applications. During the work FRAMEN is entitled to put the software equipment out of operation.

– FRAMEN shall only provide the services within the scope of the technical and operational possibilities of a broadband remote access for remote support.

– In the event of support, FRAMEN shall connect to the account and/or to the player of the Screen Provider and carry out fault localisation and diagnosis via the broadband remote access.

 


§ 3 Contractual obligations of the Screen Provider

3.1 Installation and Maintenance of the Screens

3.1.1 Screen Provider shall be responsible for the installation of the FRAMEN Software or Hardware and the operation of the Screens. In this regard, FRAMEN may assist with the set-up on weekdays (Monday to Friday) from 9.00 am to 4.00 pm. The prerequisite is the installation of the FRAMEN software or the connection of the TV stick to the respective screen by the screen provider. In addition, the screen provider will connect the screens to the Internet and set up a user account on the FRAMEN website.

3.1.2 The Screen Provider undertakes to keep all data on the individual screens and on the actual account in the FRAMEN user account up to date. If a Screen is defective, it will be deactivated within 24 hours in the backend of Framen.

3.1.3 Screen Provider hereby agrees that it has all location and screen information as well as text/photo/video rights for the data stored by Screen Provider in the backend and that it will also make this available to Framen for the following purposes.

– Creation of offers for advertising clients on the FRAMEN platform and thus for all users on the Internet.

– Creation of offers for advertising customers in SSPs and DSPs as well as to marketing third parties

– Documents for the marketing and marketing of FRAMEN

3.1.4 Screen Provider supports the marketing of the Screens by providing photos and videos of its Screens with the respective content upon request by Framen.

3.2 Platform & Screens

3.2.1 Screen Provider will not itself market the Content posted by FRAMEN. FRAMEN has the exclusive right to market this content. Screen Provider will not represent itself directly or indirectly as the provider of the Content made available by FRAMEN under this Agreement. Any communication by Screen Provider about the Content provided by FRAMEN requires the prior written consent of FRAMEN.

3.2.2 The Screen Provider undertakes that all Screens connected via the Platform will be accessible and therefore visible in public and semi-public places and that no fees will be charged to consumers for the content of the Screens.

3.2.3 The Screen Provider undertakes to ensure that if an ad request for advertising is sent to the FRAMEN ad server before and/or after the content from its connected platform and a corresponding advertising medium is available, this advertising medium actually appears on the Screen.

3.2.4 The Screen Provider shall transmit all market research documents (e.g. DMI Digital Media Institute GmbH) on the Screens for better marketing in order to enable optimal marketing for FRAMEN.

3.2.5 The Screen Provider is aware that advertisers and content suppliers have Brand Safety requirements. The Screen Provider will support FRAMEN in complying with these requirements. FRAMEN will inform the Screen Provider about the Brand Safety requirements (including changes) of the advertising partners and content suppliers to be complied with in each case. In the event of non-compliance with the brand safety requirements, FRAMEN reserves the right to exclude Screens from the supply of content.

3.2.6 The Screen Provider shall ensure that the Screens are not located in places likely to damage the reputation of FRAMEN, its Advertisers or Content Suppliers and that no unlawful material is published on the Screens outside of the Content supplied by FRAMEN and that the Screens do not contain content:

● which is considered pornographic within the meaning of § 184 StGB or

● that can be classified as content within the meaning of the Interstate Treaty on the Protection of Minors in the Media,

● which incite racial hatred within the meaning of sections 86, 131 of the Criminal Code, glorify or trivialise violence, glorify war,

● promote a terrorist organisation,

incite to commit a criminal offence,

● contain defamatory statements, or

● contain other illegal content or infringe the rights of third parties.

3.2.7 Upon termination of the contractual relationship, the Screen Provider undertakes to remove all tags, links and APIs of FRAMEN on its platform or to send the hardware to Framen. If the Screen Provider fails to remove or send the software, FRAMEN shall be entitled to charge the Screen Provider for the costs incurred by FRAMEN as a result.

3.2.8 The Screen Provider undertakes to perform in good faith the further acts of cooperation necessary for the successful marketing and securing of the contents. Both parties are aware that the technical, legal and commercial requirements for successful marketing by publishers move in an extremely dynamic market environment, which is why it is not possible to specify these acts of cooperation in detail for the entire term of the contract. FRAMEN will formulate possible new technical, legal and commercial measures and discuss them with the screen provider in a timely manner. Specifications for the publication of content must be complied with by the Screen Provider at all times.

3.3 Content

3.3.1 The Screen Provider guarantees that in the event of the playout of content relevant under licensing law, the Screens connected via the platform are located exclusively at the communicated locations.

3.3.2 The Screen Provider shall not modify or block in whole or in part the Content that FRAMEN plays out via the connected Screens.

3.3.3 The Screen Provider shall ensure that new Content is played and distributed to the relevant Screen Operators within 10 minutes. Refreshing of Content must also be carried out within 10 minutes. The Screen Provider is not responsible for external factors such as WiFi fluctuations.

3.3.4 The Screen Provider will not make copies of the Content. The Screen Provider will ensure that Screen Operators cannot download and reproduce Content.

3.4 Service Level

The Screen Provider guarantees technical support on working days 8-20 hrs; in the event of massive outages, the Screen Provider will also take necessary measures outside these hours. The Screen Provider shall inform FRAMEN immediately of (partial) failures of the platform or of screen networks.

 


§ 4 Remuneration

4.1 No later than the 20th working day of the following month, FRAMEN shall issue and send to the Screen Provider a credit note for the preceding month in the amount of the payment claim resulting from clause 4.1. The credit note is payable within 60 days. In any event, the Screen Provider will not receive any information, direct or indirect, that would enable the Screen Provider to draw any conclusions about the prices obtained by FRAMEN.

4.2 A payment will only be initiated if the amount of the payment is at least 25.00 Euros.

4.3 Payments will be determined solely on the basis of FRAMEN. Screen Providers acknowledge and agree that Screen Providers are only eligible for payments for which FRAMEN has been paid; if for any reason FRAMEN does not receive payment from or returns payment to an Advertising Provider, Screen Providers are not eligible to be paid for services associated with the use. In addition, if an Advertising Provider whose Advertising is displayed on a Screen fails to make payment to FRAMEN or fails to make payment on time, we may withhold payment or charge back your account.

4.4 FRAMEN has the right to withhold or adjust payments due to Screen Providers to exclude any amounts arising from Invalid Activities as a result of FRAMEN’s determination. Invalid Activities include, but are not limited to, (i) false information or mismatched data on file in FRAMEN’s backend (ii) spam, invalid impressions, invalid queries, invalid conversions or other invalid events on Ads generated by a person, bot, automated program or similar device, including impressions, queries, conversions or other events originating from your IP address or from computers under your control; (ii) impressions, requests, conversions or other events motivated by monetary payments, misrepresentations or prompts to end users to click on ads or take other actions (iii) ads that are delivered to end users but manipulate ad placement or measurement; (iv) any Impressions, requests, conversions or other events that occur on a Customer Property that a user could not have reached(v) any Impressions, requests, conversions or other events that occur on a Customer Property that is associated with another FRAMEN account used by you; and (vi) any Impressions, requests, conversions or other events that are associated with a significant amount of the invalid activities described above or with invalid activities, In the event that FRAMEN discovers invalid activity before or after payment is initiated for the activity, FRAMEN reserves the right to debit the Screen Provider Account and to adjust future payments accordingly for any invalid Impressions, Requests, Conversions or other events, including any Impressions, Requests, Conversions or other events that do not comply with this Policy.

4.5 All amounts payable under this Agreement are exclusive of VAT.

 

§ 5 Term

5.1 The contract may be terminated by either party with three months‘ notice to the end of a calendar year.

5.2 The right to terminate for good cause remains unaffected. Good cause shall be deemed to exist in particular if one of the parties breaches a material contractual obligation despite a written warning. Good cause for FRAMEN shall be deemed to exist, in particular, if

– if Screen Provider abandons essential lines of business relevant to the business relationship;

– if Screen Provider discontinues its services under this agreement and/or is/becomes permanently insolvent;

– if insolvency proceedings are applied for against the assets of Screen Provider or if the opening of such proceedings is rejected for lack of assets;

– if other circumstances arise which give rise to lasting doubts about Screen Provider’s future ability to perform.

5.3 In the event of termination, only the services provided in accordance with the contract will be remunerated.

5.4 Any termination must be in writing.

 

§ 6 Liability

The liability of the parties shall only exist in the event of culpable breach of essential contractual obligations (cardinal obligations). In the event of a slightly negligent breach of a material contractual obligation, liability shall be limited to the typically foreseeable damage, the occurrence of which the parties had to expect at the time of conclusion of the contract on the basis of the circumstances known to them at that time. The parties shall not be liable for lack of economic success, loss of profit, indirect damages, consequential damages and claims of third parties. The above limitations of liability shall also apply mutatis mutandis in favour of the employees, agents and vicarious agents of the parties. In addition, the parties shall be liable in accordance with the statutory provisions for damages under the Product Liability Act, for injury to life, limb or health or if the damage was caused by gross negligence or wilful intent on the part of the respective party or its vicarious agents.

 


§ 7 Data Protection

The Parties hereby clarify that, within the scope of the marketing of the DOOH Inventory under this Agreement, no information will be processed that relates to an identified or identifiable natural person within the meaning of Art. 4 No. 1 of the German Data Protection Regulation (DSGVO).

 


§ 8 Confidentiality

8.1 The parties undertake to treat as confidential all information which becomes known to the other party or to the persons entrusted by it in connection with this Agreement and which is not in the public domain (Confidential Information). This applies in particular to all information about internal matters, i.e. also business and operational processes of the respective party. Confidential information may also be information that becomes known during an oral presentation or discussion. Confidential information may only be used for the purpose of implementing the contract. Any other use of the knowledge gained is irrevocably waived. The obligation of confidentiality shall apply irrespective of whether the information concerned is expressly marked as confidential or not.

8.2 Both parties agree to treat the information received with the same care as their own internal company information and to provide knowledge of it or make it accessible only to the necessary employees and not to any third parties, with the exception of employees of affiliated companies (§§ 15 et seq. AktG) or consultants bound to professional secrecy whose involvement is actually necessary for the realisation of the purposes of this agreement. The parties shall ensure that the affiliated companies (§§ 15 et seq. AktG) to which a party (disclosing party) discloses confidential documents and information are in turn also obliged to maintain confidentiality as the parties under this agreement.

8.3 The obligation to maintain confidentiality shall not apply if the information and documents:

– was already previously known without any obligation to maintain confidentiality,

– is or becomes generally known without the disclosing party being responsible for this,

– is disclosed or provided to the disclosing party by a third party without an obligation to maintain confidentiality,

– have been released for disclosure in writing by the other party, and/or

– are to be disclosed due to statutory provisions, judicial or official orders or decrees.

 

§ 10 Final provisions

10.1 No verbal collateral agreements have been made. The written form shall apply for the conclusion of the contract. This shall be deemed to have been complied with if the contract has been signed by representatives of both parties or executed by simple electronic signature in accordance with the eIDAS Regulation („written form“). The transmission of the signed document as a scan or pdf is sufficient.

10.2 Should any provision of this contract be or become invalid, the validity of the rest of the contract shall not be affected thereby. The invalid provision shall be replaced by a provision that comes as close as legally possible to the intention of the parties. The same shall apply in the event of a loophole.

10.3 No corporate or quasi-corporate relationship shall arise between FRAMEN and the Screen Provider as a result of this Agreement.

10.4 Changes to the General Terms and Conditions, Service Descriptions and Prices

10.4.1 FRAMEN shall be entitled to amend the General Terms and Conditions, the respective service descriptions or the prices with a reasonable period of notice, provided that the amendment is reasonable for the Screen Provider, taking into account the interests of FRAMEN. The Screen Provider shall be notified of the changes in writing.

10.4.2 If changes are made to the disadvantage of the Screen Provider, the Screen Provider shall have a special right of termination at the time the change takes effect. FRAMEN shall inform the Screen Provider of this special right of termination in the notice of amendment and that the amendment will become effective if the Screen Provider does not make use of the special right of termination within the set period.

10.5 The exclusive place of jurisdiction for all disputes between the Parties arising from or in connection with this Agreement shall be Berlin.
